How many Contracts will be awarded by UDA? The number of Supplier Contracts awarded will be determined by our Member Advisory groups and is also based on numerous factors including but not limited to price, service capability, favorable terms, and geographic coverage. The final Contract will be between UDA and the selected Supplier(s).
Does UDA make the Supplier recommendation and award decision? No, UDA Member Advisory Boards, not UDA, make all Supplier selection and award decisions.
Why are UDA’s Members not signing the Contract? UDA has been designated by its Members as their contracting agent and has the expressed written authority to enter into agreements on behalf of our Members. UDA Members are represented as third party beneficiaries in the Contract and agree to purchase Products in accordance to the terms and conditions of the Contract.
Is UDA a reseller or distributor? No, we are not a reseller or distributor. UDA is a contracting agent who has been designated by our members to negotiate contracts, on our Members behalf, which contain the most favorable terms and pricing.
What revenue commitment is UDA or it’s Members making during this term? Neither UDA nor its Members will be making any revenue commitments. Individual Members retain the right to choose which products and services they purchase.
How will the ordering of Supplier products be performed? Will UDA be involved in this process? Members will order products directly from the Supplier as they normally would. UDA will not be involved in the ordering or fulfillment process. The day-to-day activity will remain between the Supplier and UDA Member.
How will billing be done? Will Supplier bill UDA or UDA's Members directly? Supplier will bill UDA Members directly and the Members are responsible for payment directly to the Supplier. UDA is not involved in the 'flow of funds'.
Who will have financial liability for payment to Supplier: UDA or UDA’s Members? Since UDA is not involved in the ordering or billing process, all financial liability for payment remains with UDA’s Members.
Does UDA intend to 'brand' and re-sell the Product? No, we are not a reseller or distributor. UDA is a contracting agent who has been designated by our members to negotiate contracts, on our Members behalf, which contain the most favorable terms and pricing.
Does UDA take title of any equipment or hardware? No, UDA will not take title to equipment or hardware.
Will UDA be involved in service, provisioning, fulfillment or operational issues? UDA would only become involved if a contractual dispute arises in these areas. Most of the 'day-to-day' service and provisioning issues will be handled directly between Supplier and Member.
Please explain the Administrative Fee. This fee represents a percentage of all Products purchased under the proposed Contract and is paid to UDA by the Supplier. This Administrative Fee is common among group purchasing contracting arrangements and is used to cover UDA’s cost of negotiating, managing, administering and communicating the benefits of the Contract. Some of the benefits Suppliers receive when contracting with UDA and paying the required Administrative Fee include:
1. Member Communication - UDA utilizes several channels to communicate the benefits of a Contract to its Members. We offer the advantage of bringing information to the marketplace that is both unbiased and that has been negotiated for the benefit of our Members.
2. Reduced Cost of Sales - UDA’s Member aggregation approach typically reduces the Suppliers cost of sales by centralizing sales into a single Contract that represents Members and their practices.
3. Increased Sales Volume - With in-place Member support of the concept of purchasing as a group, it can reasonably be expected that a Supplier entering into an Agreement with UDA should experience increased sales volume as their existing customers increase their purchases and new ones are attracted by the agreement terms.
4. Access to Key Decision Makers - UDA manages numerous Member Advisory Groups which are committees comprised of practicing practitioners who are accepted as senior leaders in the dental industry. UDA will work closely with suppliers to ensure that information is provided to these strategic Member decision makers. When appropriate, UDA will facilitate access to the groups to promote new products and services.
5. Industry Feedback - UDA will, from time to time, provide direct feedback regarding Supplier practices, services, marketing programs or other subjects as developed during Advisory Group discussions. The intent will be to provide actionable information that Suppliers can use to consider appropriate changes.
My company has a ‘standard’ contract we utilize with all partners. Will UDA accept it? Yes, we have used these in the past. Please let us know this information prior to the negotiation process.
